TERMS OF SERVICE & COMMERCIAL RESELL LICENCE

These Terms of Service and Commercial Resell Licence (“Terms”) govern the purchase of, access to and use of AI Systems Vault, including the AI Systems Vault website, member library and digital products.

In these Terms, “AI Systems Vault”, “we”, “us” and “our” refer to the business operating AI Systems Vault.

“Customer”, “you” and “your” refer to the individual or business purchasing or using AI Systems Vault.

By purchasing AI Systems Vault, creating or accessing an account, or downloading or using products from the Vault, you agree to these Terms.

1. ABOUT AI SYSTEMS VAULT

AI Systems Vault is a digital product and resource library designed to provide customers with ready-made digital products that may be used, customised, rebranded and resold in accordance with these Terms.

Resources may include:

  • Ebooks
  • Courses
  • Templates
  • Spreadsheets
  • Business resources
  • Marketing resources
  • AI prompts and resources
  • Guides
  • Checklists
  • Frameworks
  • Digital product bundles
  • Other downloadable digital content

AI Systems Vault is supplied digitally. No physical products are supplied unless expressly stated otherwise.

2. WHAT YOU ARE PURCHASING

Your purchase gives you access to the AI Systems Vault member library together with a commercial licence to use and resell the digital products contained within the Vault, subject to these Terms.

You are not purchasing ownership of AI Systems Vault itself.

Your purchase does not transfer ownership of:

  • The AI Systems Vault brand;
  • The AI Systems Vault website;
  • The Vault platform or member interface;
  • Your membership account;
  • Our logos or trademarks;
  • Our website design;
  • Our proprietary systems or technology.

Your commercial rights relate to the digital products contained within the Vault, as described below.

3. COMMERCIAL RESELL RIGHTS

AI Systems Vault is specifically designed to allow customers to build their own digital-product offers and businesses.

Subject to these Terms, products downloaded from AI Systems Vault may be used commercially.

You may:

  • Download products from the Vault.
  • Use products personally or commercially.
  • Edit and customise products.
  • Rebrand products under your own business or brand.
  • Add your own logo, colours and design.
  • Change product titles.
  • Create new product covers.
  • Modify layouts and presentation.
  • Add your own content.
  • Remove or replace content.
  • Combine multiple products.
  • Create bundles.
  • Package products as part of your own offers.
  • Sell products to your own customers.
  • Sell products through your own website.
  • Sell products through ecommerce platforms or marketplaces, subject to those platforms' rules.
  • Set your own retail prices.
  • Use products as paid bonuses or additions to other commercial offers.
  • Sell your customised or branded products to multiple end customers.

There is no royalty payable to AI Systems Vault from your sales.

You set your selling price. AI Systems Vault takes no percentage or royalty from your sales.

Any payment-processing charges, advertising expenses, marketplace charges, taxes, ecommerce costs and other expenses associated with operating your business remain your responsibility.

4. WHAT YOU MAY NOT RESELL

The commercial licence applies to the digital products contained inside AI Systems Vault.

It does not give you the right to sell AI Systems Vault itself.

You may not:

  • Sell your AI Systems Vault account.
  • Transfer your membership to another person.
  • Share your login credentials.
  • Give third parties direct access to the Vault.
  • Sell access to the AI Systems Vault member area.
  • Copy or clone the AI Systems Vault website.
  • Copy or clone the Vault platform or interface.
  • Represent your business as AI Systems Vault.
  • Use the AI Systems Vault name or logo as your own brand.
  • Imply that your business is officially operated or endorsed by AI Systems Vault without our written permission.
  • Circumvent access controls or security measures.
  • Scrape or systematically copy the member platform for the purpose of reproducing the AI Systems Vault service itself.

These restrictions do not prevent you from downloading products and selling those products through your own digital-product business as expressly permitted by Section 3.

5. RESELLING PRODUCTS VS RESELLING AI SYSTEMS VAULT

For clarity:

ALLOWED

You purchase AI Systems Vault.

You download an ebook, course, template, guide or other digital product.

You may customise or rebrand it.

You create your own product or offer.

You choose your selling price.

You sell that product to your customers.

You retain the revenue from those sales, subject to your normal business expenses and obligations.

NOT ALLOWED

You purchase one AI Systems Vault membership and then sell or distribute access to your AI Systems Vault account or the AI Systems Vault member platform itself.

The distinction is simple:

You may build a business using the products inside the Vault. You may not resell access to the Vault itself.

6. YOUR BUSINESS AND YOUR CUSTOMERS

If you resell products obtained through AI Systems Vault, you operate as an independent business.

AI Systems Vault does not become the seller to your customers.

You are responsible for your own:

  • Business operations;
  • Store or website;
  • Product selection;
  • Product descriptions;
  • Branding;
  • Pricing;
  • Advertising;
  • Marketing;
  • Customer support;
  • Refunds and chargebacks;
  • Payment processing;
  • Taxes;
  • Privacy obligations;
  • Consumer-law obligations; and
  • Compliance with laws applicable to your business.

You are responsible for ensuring that claims you make when advertising your own products are accurate, lawful and not misleading.

7. NO GUARANTEE OF INCOME, SALES OR PROFIT

Purchasing AI Systems Vault does not guarantee that you will make money.

We do not guarantee:

  • Sales;
  • Revenue;
  • Profit;
  • Return on advertising spend;
  • Business success;
  • Customer numbers;
  • Particular financial results; or
  • That any particular business strategy will be successful.

Your results depend on numerous factors outside our control, including your product selection, branding, pricing, marketing, advertising, audience, location, business strategy and execution.

References to starting a digital-product business, creating an additional income stream or selling digital products describe possible uses of the products and commercial licence.

They are not guarantees of financial results.

Any customer results, testimonials, examples, case studies or sales figures displayed by AI Systems Vault are illustrative of the experiences described and do not guarantee that another customer will achieve the same results.

Where required by applicable law, additional disclosures relating to earnings or business-opportunity representations may be provided.

8. INTELLECTUAL PROPERTY

AI Systems Vault and/or its licensors retain all rights in the AI Systems Vault brand, website, member platform, logos, proprietary technology and other protected materials that are not expressly licensed to you under these Terms.

Your purchase grants the commercial rights described in these Terms.

It does not transfer ownership of AI Systems Vault itself.

You may not register, claim ownership of or use the AI Systems Vault name, logos or other brand assets as your own trademark or business identity.

9. ACCOUNT SECURITY

Your AI Systems Vault membership account is intended for the purchaser.

You must take reasonable steps to protect your login credentials.

You must not intentionally share your account with unauthorised third parties.

If you believe your account has been compromised, you should contact us promptly.

We may temporarily restrict access where we reasonably believe an account has been compromised, shared, resold or used in violation of these Terms.

10. LIFETIME ACCESS

Where AI Systems Vault is sold with “Lifetime Access”, this means access for the commercial lifetime of the AI Systems Vault service.

It does not mean the lifetime of the purchaser.

The Vault is an evolving digital library.

We may:

  • Add new products;
  • Remove outdated products;
  • Replace resources;
  • Reorganise categories;
  • Update products;
  • Change the member interface;
  • Change the technology used to deliver the service.

Lifetime access does not guarantee that every individual resource available on the date of purchase will remain available permanently.

11. PRICING

The price payable is the price displayed at checkout when you complete your purchase.

Prices may:

  • Change from time to time;
  • Be offered in different currencies;
  • Differ between promotions or markets;
  • Include or exclude applicable taxes depending on location and checkout configuration.

Where legally required, applicable VAT, GST, sales tax or other taxes may be collected.

12. DIGITAL DELIVERY

AI Systems Vault is delivered electronically.

Access will normally be provided following successful payment.

You are responsible for providing accurate contact information and maintaining the internet connection, device and software required to access the service.

If you do not receive access after purchasing, you should contact us so that we can investigate and provide access where appropriate.

13. REFUNDS AND STATUTORY CONSUMER RIGHTS

AI Systems Vault may offer a voluntary money-back guarantee as displayed on our website at the time of purchase.

A voluntary guarantee is in addition to, and does not replace, any consumer rights that apply to you under mandatory law.

Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, statutory warranty, cancellation right, refund right or other legal protection that cannot lawfully be excluded.

If applicable law gives you greater rights than these Terms, those mandatory rights will apply.

If a purchase is refunded and the commercial licence is cancelled, your right to continue using and commercially exploiting products under that refunded licence ends, except to the extent applicable law requires otherwise.

14. UNITED KINGDOM CUSTOMERS

If you are a consumer in the United Kingdom, your purchase is subject to applicable UK consumer law.

For digital content supplied immediately, we may ask you at checkout to expressly consent to supply beginning immediately and to acknowledge that beginning the supply may result in the loss of your statutory 14-day cancellation right where permitted by law.

Nothing in these Terms limits your rights where digital content is faulty, not as described or where another statutory remedy applies.

Our voluntary money-back guarantee, where offered, is separate from your statutory rights.

15. UNITED STATES CUSTOMERS

If you are located in the United States, applicable federal and state consumer-protection laws continue to apply.

Nothing in these Terms authorises false, deceptive or misleading advertising or removes consumer rights that cannot legally be waived.

AI Systems Vault provides digital products and commercial resale rights but does not guarantee earnings or business success.

If any additional disclosures are required by applicable federal or state law in connection with the marketing of a business opportunity or earnings-related representation, those disclosures will form part of the applicable transaction.

16. CANADIAN CUSTOMERS

If you are located in Canada, applicable federal, provincial and territorial consumer-protection laws continue to apply.

Consumer-contract, internet-sales, disclosure, cancellation and refund requirements may differ depending on your province or territory.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded under applicable Canadian federal, provincial or territorial law.

Where a mandatory local rule conflicts with these Terms, the mandatory local rule will apply to the extent of that conflict.

17. AUSTRALIAN CUSTOMERS

If you are a consumer protected by the Australian Consumer Law, our products and services come with consumer guarantees that cannot be excluded under the Australian Consumer Law.

Nothing in these Terms excludes, restricts or modifies a consumer guarantee, right or remedy where doing so would be unlawful.

Any voluntary refund or money-back guarantee offered by AI Systems Vault is additional to rights and remedies available under Australian Consumer Law.

18. SOUTH AFRICAN CUSTOMERS

If you are located in South Africa, your transaction may be subject to applicable provisions of the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002 and other applicable South African law.

Nothing in these Terms is intended to exclude or limit a consumer right or remedy that cannot lawfully be excluded.

Where South African law provides a mandatory cooling-off, cancellation, disclosure, refund or other consumer right applicable to your transaction, that right will apply notwithstanding anything inconsistent in these Terms.

19. THIRD-PARTY PLATFORMS

You may use third-party platforms to sell products obtained through AI Systems Vault.

Those platforms operate independently from us.

You are responsible for complying with their terms, policies and product rules.

AI Systems Vault is not responsible for:

  • Account suspensions;
  • Marketplace restrictions;
  • Payment holds;
  • Changes to third-party policies;
  • Platform fees;
  • Marketplace approval decisions; or
  • Other actions taken by third-party services.

A commercial licence from AI Systems Vault does not guarantee that every third-party marketplace will accept every product or business model.

20. ACCEPTABLE USE

You must not use AI Systems Vault or products obtained through it for unlawful purposes.

You must not knowingly use the products to:

  • Commit fraud;
  • Mislead customers;
  • Infringe another person's intellectual property;
  • Distribute malicious software;
  • Engage in unlawful marketing;
  • Violate applicable privacy laws; or
  • Conduct other illegal activities.

You remain responsible for the legality of the business you operate using the products.

21. THIRD-PARTY RIGHTS AND CONTENT

Where a product contains third-party names, trademarks, images, examples, links or other third-party material, you are responsible for reviewing your final product before publishing or selling it.

You must not imply endorsement by a third party where none exists.

You are responsible for ensuring that modifications you make to a product do not infringe third-party rights.

22. DISCLAIMER

AI Systems Vault provides digital resources, business materials and educational content.

Nothing supplied by AI Systems Vault constitutes personalised:

  • Legal advice;
  • Tax advice;
  • Accounting advice;
  • Financial advice;
  • Investment advice; or
  • Other regulated professional advice.

You should obtain independent professional advice where appropriate.

23. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Subject to those mandatory rights, AI Systems Vault will not be liable for indirect or consequential losses arising from the operation of your own business, including lost profits, lost opportunities, advertising losses or business interruption.

You remain responsible for your own commercial decisions and business activities.

Where applicable law does not permit a particular limitation contained in these Terms, that limitation will apply only to the maximum extent permitted by law.

24. SUSPENSION OR TERMINATION

We may suspend or terminate access where we reasonably believe there has been a material breach of these Terms, including:

  • Selling or transferring a Vault membership;
  • Sharing account access on a systematic or unauthorised basis;
  • Reproducing the AI Systems Vault member platform;
  • Misusing our trademarks or brand;
  • Circumventing security controls; or
  • Using the service for unlawful purposes.

Where reasonably appropriate, we may provide notice and an opportunity to remedy a breach before termination.

Nothing in this section affects mandatory consumer rights.

25. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in law, our service, our products or our business.

Changes will be published on our website together with an updated revision date.

We will not retrospectively remove commercial rights already validly granted for products purchased under an earlier version of these Terms except where necessary to comply with law, address third-party rights or prevent unlawful use.

26. GOVERNING LAW AND INTERNATIONAL CONSUMERS

These Terms are governed by the laws of England and Wales, subject to the mandatory consumer-protection laws applicable in the country, state, province or territory in which you reside.

If you are a consumer outside England and Wales, you may have mandatory rights under your local law.

Nothing in these Terms is intended to deprive you of the protection of mandatory laws that apply to you and cannot lawfully be excluded by contract.

Where a provision of these Terms conflicts with such a mandatory law, the mandatory law will prevail to the extent of the conflict.

27. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect where legally possible.

28. ENTIRE AGREEMENT

These Terms, together with our Refund Policy, Privacy Policy and any specific terms displayed at checkout, constitute the agreement governing your purchase and use of AI Systems Vault.

Where specific promotional terms are expressly stated at checkout, those terms will apply to that promotion.
